The specific scope of work for each engagement is defined in a separate Statement of Work (SOW) or service agreement. Security work goes no further than that: on request we run an informal test of a system and fix what it finds. It is not a security audit, a certification or a compliance sign-off (for example SOC 2 or ISO 27001), and we do not guarantee that any system is secure. ## 2. Limitation of Liability **2.1 Cap.** Our total liability to you for all claims arising out of these Terms or a project, in contract, in tort or otherwise, is limited to the fees you paid us for the project that gave rise to the claim during the 12 months before the claim arose. Where you paid nothing (for example, the free website audit), our liability is limited to NIS 500. **2.2 Indirect damages.** Neither of us is liable to the other for lost profit, lost revenue, loss of data or goodwill, or other indirect or consequential damage. **2.3 What these limits never touch.** Sections 2.1 and 2.2 do not limit liability for intent, fraud or gross negligence; for breach of the confidentiality obligations in section 4; for death or bodily injury; or for anything that the law does not allow to be excluded or limited. If you are a consumer under Israel's Consumer Protection Law, nothing in these Terms removes a right or remedy that the law gives you. **2.4 Disruption and automated output.** Temporary disruption that authorized work requires is not a breach if it was agreed with you in advance. Some deliverables use AI models or automated workflows, whose output can contain errors; review and test such output before you rely on it in production. Third-party model and API terms may also apply to you, and if a provider changes or stops a service we tell you promptly and work with you on an alternative. ## 3. Intellectual Property Custom code and deliverables developed for you during an engagement become your property on full payment: on that date SporeSec assigns them to you, and the signed agreement or Statement of Work records the assignment in writing. Until full payment they remain the property of SporeSec. Tools, libraries, templates and methods that SporeSec owned or developed before the engagement or apart from it, and open-source and third-party components, stay with their owners; where one of them is built into a deliverable, you receive a non-exclusive, perpetual licence to use it as part of that deliverable. Where a signed agreement says otherwise, the signed agreement applies. ## 4. Confidentiality Both parties agree to maintain strict confidentiality regarding all information shared during an engagement. SporeSec will not disclose client data, system details, or business information to any third party without your consent, given in writing or electronically (for example by ticking a choice in the portal). ## 5. Payment Terms Payment terms are specified in individual service agreements. Unless otherwise stated, payment requests are due within 30 days of issuance, and we issue a receipt for each payment received. Late payments may incur interest charges as permitted by Israeli law. Prices shown on this site, including quotes assembled in the self-serve configurator, are in ILS, plus VAT as required by law. Prices remain valid for 14 days from generation. A saved or signed self-serve quote records your intended scope and price; it is an offer summary, not the engagement contract, which follows separately before work begins. Approximate USD/EUR figures are display-only conversions; billing is always in ILS. Requests beyond a quoted scope are priced separately before execution. ## 6. Cancellation and Cooling-Off Where you are a consumer under Israel's Consumer Protection Law, 5741-1981, you may cancel a distance transaction within 14 days. For a one-time service this applies provided your cancellation reaches us at least 2 days (not counting rest days) before the work is due to begin; for an ongoing (retainer) service you may cancel within the 14 days even after it has started, paying only for the value already provided. We refund the amount paid within 14 days of the cancellation notice and may retain a cancellation fee no greater than the lower of 5% of the transaction price or NIS 100. No cancellation fee applies where the cancellation is due to a defect, a failure to match what was represented, or our breach. If you are a person with a disability, a senior citizen (65 or older), or a new immigrant, and we were in direct contact during the transaction, the cancellation window is 4 months. A purchase made by a business for business use is not a consumer transaction under the law, but we honor this cancellation right for anyone who buys through the self-serve flow. To cancel, email contact@sporesec.com with your details. ## 7. Governing Law These terms are governed by the laws of the State of Israel. Any dispute shall be heard by the competent court in Israel, according to the law. ## 8. Free Tools The free website audit on this site runs automated, read-only checks: Lighthouse performance scores, response headers, public DNS records, and a passive read of the returned page for obvious issues such as an exposed key pattern or a CORS misconfiguration. It is not a penetration test, and it does not attempt to log in, modify, or attack the target. Only scan websites you own or are authorized to assess. Results are indicative estimates generated by automated tooling and third parties and can change between runs. They are not a security audit, a certification or a guarantee that a site is secure. Our liability for the free tools is limited as set out in section 2. We may rate-limit or block abusive use. ## 9. Client Portal The portal at app.sporesec.com is available as a free self-serve account or as an invited client account. You are responsible for keeping your credentials safe and for activity under your account; we strongly recommend enabling two-step verification (client-tier accounts must enroll within the 30-day setup window). Signatures made in the portal are electronic signatures under Israel's Electronic Signature Law; to support them we record the signer's name, the time, a hashed IP, and the document fingerprint. Do not use the portal to store or transmit unlawful content, to probe or disrupt the service, or to access data that is not yours. You can export your data or request account deletion from Settings; signed contracts and tax records are retained as the law requires. ## 10. Technology, Versions, and Scope Changes The specific tools, platforms, libraries, and versions named in a quote, a proposal, or on this site are indicative, not contractual commitments. SporeSec builds on the most stable, current best-of-breed tools available at the time of the work, and may substitute an equivalent or better tool where it serves the outcome. The technology landscape moves quickly, so a granular quote assembled today may require tooling adjustments by the time work begins. Any change that materially affects the agreed scope, timeline, or budget is agreed with you in writing before it takes effect. The fixed price you approve is honored for the agreed scope, whatever tools are used to deliver it. ## 11.
