Referral Program Terms

About these terms
These terms apply to the SporeSec referral program ("the Program"). They add to our Terms of Service and Privacy Policy. If they conflict with the Terms of Service on the Program, these terms win for the Program only.
1. In short
- You tell a business about SporeSec through your personal link.
- That business gets ILS 500 off its first build.
- You get an ILS 500 credit on your own SporeSec invoices once that build is paid and 30 days have passed.
- The credit is not cash. You cannot sell it or give it to someone else.
2. Definitions
- Referrer: a person with a SporeSec portal account who shares their personal referral link.
- Referred Business: the business whose owner or representative creates a SporeSec portal account through a Referrer's link.
- First Build: the first website, online store, AI agent, automation, integration or other custom build that the Referred Business signs with SporeSec. A Readiness Audit alone, or a retainer alone, is not a First Build.
- Build Invoice: the invoice SporeSec issues for the First Build.
3. Who can refer
3.1. Any person with a SporeSec portal account can be a Referrer.
3.2. You can refer a business only if it is new to SporeSec, as section 8 explains.
3.3. There is no limit on how many businesses you refer. Each qualifying referral earns its own credit.
4. The offer
4.1. For the Referred Business. ILS 500 is deducted from the Build Invoice, as one discount line. It is shown in the Referred Business's portal from signup and on its proposal. It does not depend on the choice in section 9.
4.2. For the Referrer. An ILS 500 credit, net of VAT, applied as a price reduction on the Referrer's own future SporeSec invoices. It is earned only when the credit vests (section 6) and the Referred Business made the choice in section 9.
4.3. The amounts are flat. They do not depend on the price of the build.
4.4. The credit has no cash value. SporeSec never pays it out, in whole or in part, in cash, by transfer or by refund.
4.5. The credit is personal. It cannot be transferred, sold, exchanged, split or used by another person or company.
4.6. How the credit is applied: SporeSec applies it to one of your unpaid SporeSec invoices as a single discount line, at your request or when we next invoice you.
5. What counts
5.1. A referral counts only if the Referred Business signs a First Build.
5.2. A Readiness Audit, a retainer, a free scan, a consultation or a call does not count on its own.
5.3. If the First Build and a retainer are signed together, only the Build Invoice counts.
6. When the credit vests
6.1. The credit vests when both are true: the Build Invoice has been paid in full, and 30 days have passed since payment with no refund and no chargeback.
6.2. It does not vest when the build is signed, when work starts, or when the first payment is made.
6.3. SporeSec shows you the date the credit is due to vest.
7. Time limits
7.1. The Referred Business must sign its First Build within 6 months of creating its account through your link. After that the referral no longer counts.
7.2. A vested credit is valid for 12 months from the date it vests. After that it expires and cannot be restored.
8. When a referral or credit is void
A credit, and where noted the Referred Business's discount, is void in these cases:
8.1. Refund or chargeback. The Build Invoice is refunded in whole or in part, or the payment is charged back, before the credit vests.
8.2. Demotion before vesting. SporeSec reverses the Referred Business's client status before the credit vests.
8.3. Self-referral. You refer yourself, or an account you control. The Referred Business's discount is void too.
8.4. Same owner or company domain. The Referred Business has the same owner as the Referrer, or uses the same company email domain. The Referred Business's discount is void too.
8.5. An existing conversation. SporeSec already had a conversation with the Referred Business or its owner before the referral: a booked call, a message, a proposal, a contact record or an earlier account. The Referred Business's discount is void too.
8.6. Abuse. Fake accounts, false statements, spam, paid or automated sharing of the link, or any other attempt to obtain a credit unfairly.
8.7. SporeSec tells you the reason when a credit is voided. A vested credit that has not been voided for abuse is not taken back.
9. The Referred Business's choice
9.1. When a business creates an account through a referral link, it sees a separate choice, not ticked by default: it can let the Referrer know that it joined, so the Referrer gets their ILS 500. The exact wording is in the signup form.
9.2. If the Referred Business ticks it, SporeSec tells the Referrer its first name, that it opened an account, and when it becomes a client. SporeSec also shows the Referrer the state of the Referrer's own credit: on the way, ready, applied or voided. Nothing else is shared: no prices, no project details, no email address, no invoice amount.
9.3. If it does not tick it, the Referrer sees only a count of referrals that were not shared. No name and no other detail. The Referred Business keeps its own ILS 500 off. The Referrer does not earn a credit for that referral.
9.4. The Referred Business can change its choice at any time in portal Settings. A change stops further sharing. What was already shared cannot be recalled. If the choice is withdrawn before the credit vests, the credit is not earned.
9.5. SporeSec never contacts a referred person on the Referrer's behalf. Sharing the link is the Referrer's own action.
10. Existing invitations
10.1. A business that created an account through a referral link while SporeSec offered "10% off the first project" keeps the offer it was shown.
10.2. The Referrer of such a business earns the ILS 500 credit under these terms once the credit vests and the choice in section 9 was made.
11. Taxes
11.1. Each party is responsible for its own taxes.
11.2. The ILS 500 given to the Referred Business and the ILS 500 credit given to the Referrer are price reductions on SporeSec invoices. They are not a payment and not a commission. Amounts are stated net of VAT. Where VAT applies to an invoice, it is calculated on the price after the reduction.
11.3. SporeSec does not give tax advice. A Referrer who is a business should ask their own accountant how the credit is treated for them.
12. Changes and ending the Program
12.1. SporeSec may change these terms or end the Program at any time, by notice on the refer page and by email to Referrers.
12.2. A change applies from the date of notice. A Referred Business that created its account before the change keeps the offer it was shown at signup.
12.3. If SporeSec ends the Program, a credit that has vested, and a credit whose Build Invoice was paid before the end date and later vests, is honoured until it expires under section 7.2.
13. Privacy
Referral records are personal data. How we collect, use, keep and delete them is in our Privacy Policy, in the sections on the referral records, the referral link, and what the Referrer sees. You can export or delete your data from portal Settings, subject to the tax and signed-agreement records the Privacy Policy lists.
14. Law
These terms are governed by the laws of the State of Israel. Any disputes shall be resolved in the courts of Tel Aviv, Israel.
